In order for a foreign Company to legally make repeated business transactions within Japan, they must meet the following requirements.
1. The Company must establish one or more Japan branch
representatives, and at least one representative must have an
address within Japan.
2. The Company must establish a branch office at the address of the
representative or another location.
3. The Company must register the Japan branch office with the
Regional Legal Affairs Bureau that has jurisdiction over them.
<Documents to be Submitted>
1. The foreign Company must submit a copy of their articles of
association, any other documentation sufficient to establish the
characteristics of the foreign Company, and a Japanese translation.
2. The foreign Company must submit a certified copy of the commercial
register and a Japanese translation.
3. The foreign Company must create an officially registered seal for the
Japan branch representative and provide a copy of the registration
certificate for this seal. The representative must possess an address
in Japan.
4. An affidavit. We will prepare this.
<Affidavit>
Because foreign companies are organized under their local laws, they do not necessarily have a governing or collegial body as Japanese companies have. Moreover, meeting minutes or other documents are not always compliant with Japanese legal regulations and are typically created in a foreign language so the effort and time required to translate them would be prohibitive.
As an alternative method, the Regional Legal Affairs Bureau accepts applications for registration from foreign companies along with an affidavit.
The individual who submits the affidavit, the representative of the foreign Company or the Japanese branch office, swears that the information submitted is the truth to the best of their knowledge in the presence of an officer at their embassy or consulate, or in the presence of a notary public. They then sign and seal the document and submit a proof of the representative’s identity (a passport copy, etc.) and a certificate.

2. The address of the head office of the Company
3. The intended address of the branch office in Japan, and date of
establishment
4. The intended method of public notices in Japan
5. The law under which the Company is organized
6. The date of incorporation of the Company
7. The purposes of the Company
8. The total number of all classes of shares issued by the Company
9. The amount of paid-in capital of the Company (in local currency
units)
10. The names and addresses of all the Company’s directors
11. The name and address of the Company's representative in Japan
